Terms of Service
These Terms of Service ("Terms") are an agreement between BAG, LLC ("BAG," "we," or "us") and the person or organization using StayPro ("you" or "Customer"). By creating an account, accessing, or using the StayPro website, dashboard, APIs, SDKs, or related services (the "Service"), you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you confirm that you have authority to bind it.
The Service
StayPro processes content and provides automated voice-safety scores, transcriptions, evidence, reports, integrations, and related tools. Automated moderation can produce false positives, false negatives, or incomplete results. You are responsible for configuring the Service, reviewing results as appropriate, and deciding what action to take. The Service is not a substitute for human review where one is required by law, platform rules, or the risk of the decision.
Accounts and security
You must be at least 18 years old and legally able to enter this agreement. You must provide accurate account information, protect credentials and API keys, limit access to authorized users, and tell us promptly about suspected unauthorized access. You are responsible for activity under your account and for the actions of your organization members.
Customer Data and privacy
You retain your rights in content and data you submit to the Service ("Customer Data"). You instruct and grant BAG the limited rights needed to receive, process, transmit, display, store, and delete Customer Data to provide, support, secure, and evaluate the Service as described in the Privacy Policy and any separate written agreement.
You are responsible for:
- Having all rights, notices, consents, and other legal bases needed to collect Customer Data and send it to BAG, including voice data and information about minors.
- Giving players and other individuals an accurate privacy notice and honoring their rights and deletion requests.
- Using the Service and its outputs in compliance with applicable laws, platform rules, and your own policies.
- Avoiding unnecessary sensitive information and choosing identifiers that are proportionate to the moderation purpose.
Acceptable use
You may not use the Service to:
- Break the law or violate another person's rights.
- Conduct unauthorized surveillance or process content you are not authorized to collect.
- Harm, exploit, or discriminate against a person, or make a legally significant decision without safeguards required by law.
- Probe, disrupt, overload, bypass limits, or gain unauthorized access to the Service or another account.
- Reverse engineer, copy, resell, or sublicense the Service except as allowed by law or a written agreement with BAG.
- Upload malware or use the Service to facilitate abuse.
Fees and third-party services
You agree to pay the prices, usage charges, and taxes shown when you purchase credits or otherwise order the Service. Payment processing, authentication, hosting, transcription, classification, and integrations may rely on third-party services. Their terms may apply to your direct use of those services, and BAG is not responsible for third-party products outside our control.
BAG property and feedback
BAG and its licensors own the Service, software, documentation, designs, and related intellectual property, excluding Customer Data. We grant you a limited, non-exclusive, non-transferable right to use the Service during your account term. If you provide feedback, you allow BAG to use it without restriction or payment.
Changes, suspension, and termination
We may change the Service and may suspend or limit access when needed to address security, legal, operational, nonpayment, or abuse risks. You may stop using the Service at any time. BAG may terminate access for a material breach of these Terms. On termination, you remain responsible for accrued fees. Customer Data will be handled as described in the Privacy Policy and any separate written agreement.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." BAG disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or identify every violation. These disclaimers do not limit rights that cannot legally be waived.
Limitation of liability
To the maximum extent permitted by law, BAG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. BAG's total liability arising from the Service will not exceed the amount you paid BAG for the Service during the twelve months before the event giving rise to the claim. This section does not limit liability that cannot legally be limited.
Indemnity
To the extent permitted by law, you will defend and indemnify BAG and its personnel from third-party claims arising from Customer Data, your product or service, your instructions to BAG, or your violation of these Terms or applicable law, except to the extent caused by BAG's own breach or misconduct.
General
If a written order form or other agreement with BAG conflicts with these Terms, that agreement controls for the conflict. If one part of these Terms is unenforceable, the rest remains effective. A failure to enforce a term is not a waiver. You may not assign these Terms without BAG's consent; BAG may assign them as part of a reorganization, financing, merger, or sale of the Service. We may update these Terms by posting a revised version and changing the effective date.
